Social Intern makes no warranties regarding the accuracy, completeness, or suitability of any brand analysis and disclaims all liability for decisions made based on such analysis.
  • Content Strategy Approval: Users must thoroughly review and approve all AI-generated content pillars, social media campaigns, content themes, and strategic recommendations before implementation. Social Intern provides these elements as suggestions only and bears no responsibility for their effectiveness, brand alignment, or market appropriateness.
  • User Responsible for Content: Users must actively review all AI-generated content, including content pillars, campaigns, writing styles, captions, images, videos, carousels, and calendar items, before approving for publication. Users bear sole responsibility for verifying the accuracy, suitability, compliance, and alignment with their brand standards.
  • Content Calendar Liability: Users acknowledge that the Service automatically includes certain holidays and events on their content calendars. It is the user's responsibility to review, modify, or remove any dates or content they deem unsuitable or inappropriate for their brand or audience. Social Intern bears no liability for any issues arising from such content calendar entries.
  • Responsible Use of the Service: Users must use the Service responsibly and ethically. This includes refraining from using the Service to engage in any form of harassment, abuse, defamation, or dissemination of objectionable material. Users shall not use the Service to perpetrate scams, fraud, or any form of illegal activity.

System Availability and Functionality: Social Intern does not warrant that the Service will be uninterrupted, timely, secure, or error-free, nor does it warrant that any defects in the Service will be corrected. The availability and functionality of the Service may be subject to delays, limitations, and other problems inherent in the use of the internet and electronic communications.

Third-Party Platform Integration: The Service relies on third-party APIs and integrations with social media platforms (including but not limited to Facebook, Instagram, Twitter, LinkedIn, TikTok, Youtube) and AI providers (including but not limited to OpenAI, Anthropic, Google/Alphabet, DeepSeek, OpenRouter, Replicate, Perplexity, xAI, DeepInfra, Fireworks). Users acknowledge that: (a) these platforms may change their APIs, policies, or terms at any time; (b) platform outages or changes may interrupt service; (c) platform policy violations may result in content rejection or account penalties; (d) Social Intern has no control over third-party platform decisions or policies; and (e) Social Intern bears no liability for platform-related issues, restrictions, or consequences.

Content and Information Accuracy: Any content or information provided through the Service is for general information purposes only. Social Intern does not guarantee the accuracy, completeness, or suitability of this content for every business's specific needs or social media goals. We disclaim any liability for reliance placed on the content provided by the Service. Users are encouraged to review and adjust the AI-generated content to ensure it aligns with their brand’s voice and objectives before publication.

Content Style and Voice: While Social Intern's AI attempts to match user-specified brand voice and writing style, we cannot guarantee perfect alignment with brand guidelines, tone preferences, or communication standards. Users must review all content for style consistency and brand voice accuracy before approval.

User Responsibility: Social Intern explicitly disclaims any responsibility for inaccuracies, errors, misrepresentations, or any other deficiencies in the AI-generated content provided. The responsibility for final approval, accuracy verification, and content alignment rests exclusively with the user.

6. Limitation of Liability

Scope: IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Actions Taken Against Social Media Accounts: Social Intern shall not be held liable for any negative consequences, including suspension, limitation, termination, or any other action taken against a user's social media account resulting from content created, approved, or published using our Service.
  • Compliance with Legal Obligations: Our compliance or failure to comply with any legal or regulatory obligation.
  • Force Majeure Events: Social Intern shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including but not limited to: natural disasters, government actions, internet outages, third-party service failures, cyberattacks, or other unforeseeable events.
  • Limitation Period: Any claim related to the Service must be filed within one (1) year after such claim or cause of action arose, otherwise, such claim or cause of action will be permanently barred, notwithstanding any statute or law to the contrary.

In jurisdictions that do not allow the exclusion or the limitation of liability for consequential or incidental damages, Social Intern’s liability shall be limited to the extent permitted by law. This Limitation of Liability provision shall survive any termination or expiration of your use of the Service or these Terms of Service.

Social Intern bears no responsibility for content directed by users or resulting repercussions.

Violations of these prohibited uses may lead to immediate termination of the user's account and legal action, where appropriate.

9. Termination and Suspension

Social Intern reserves the unrestricted right to terminate or suspend a user's account or any brand associated with a user, at any time and without prior notice or liability, for any reason including, but not limited to, violations of these Terms, inappropriate content requests, or actions potentially harmful to the Service's integrity or reputation. The following outlines the conditions and procedures regarding termination and suspension:

  • Breach of Terms: If a user violates any of the terms and conditions outlined in these Terms of Service, Social Intern may, at its sole discretion, suspend or terminate the user's account and access to the Service. This includes any misconduct, illegal activity, or other actions deemed harmful to the Service or its users.
  • Notification of Termination: In the event of termination, Social Intern will make a reasonable effort to notify the affected user using the email address provided at the time of account creation or as updated in the user's account profile.
  • Effect of Termination: Upon termination or suspension, the user's right to use the Service will immediately cease. If the user's account is terminated, the account and its associated data may be deleted. Social Intern is not responsible for the loss of such data.

While Social Intern retains the underlying intellectual property rights for the algorithms and software used to generate this content, the final approved content generated for and transmitted to clients for their social media use is owned by the client, subject to their compliance with these Terms and any applicable social media platform policies.

Generated Content Rights: Clients are granted a non-exclusive, transferable, sublicensable, worldwide license to use, reproduce, modify, publish, and distribute the AI-generated content specifically created for them by Social Intern. This license is for the sole purpose of enabling clients to utilize the content in their social media postings and related marketing activities.

Use Restrictions: Despite the transferable rights of generated content to clients, Social Intern's compilation of content, technology, and all software used in the creation of such content remains the exclusive property of Social Intern. Clients and users are expressly prohibited from replicating, modifying, or using the technology, software, or methodologies employed by Social Intern for any purpose beyond the scope of the generated content’s intended use, without our prior written permission.

Trademarks: The Social Intern name, logo, and any related product and service names, designs, and slogans are trademarks of Social Intern or its affiliates or licensors. These marks cannot be used without the prior written permission of Social Intern. Trademarks, names, logos, and service marks (collectively “trademarks”) displayed on the platform are registered or unregistered trademarks of their respective owners and are provided for the client's use only in the approved final content.

Infringement Claims: Social Intern respects the intellectual property rights of others and expects its clients to do the same when using AI-generated content. If you believe that any content infringes upon your intellectual property rights, or if a claim is made against you for your use of AI-generated content provided by Social Intern, please contact us with detailed information for us to evaluate and address the situation.

License Grant: By using our service, clients grant Social Intern a perpetual, non-exclusive, royalty-free license to use any feedback, suggestions, or related materials you provide related to the functionality and performance of our service, without any obligation to compensate or acknowledge the source.

Termination of License: The license for the AI-generated content may be revoked if it is determined that a client’s use of the content violates these Terms, any applicable laws, or social media platform policies. Upon such termination, the client must cease all use of the disputed content and remove it from their platforms.

14. Dispute Resolution

All disputes, claims, or controversies arising from or relating to these Terms, the Service, or interactions between users and Social Intern must first attempt resolution via mediation and, failing resolution, binding arbitration. Users expressly waive their rights to class actions or jury trials.

Mediation: If the parties are unable to resolve the dispute through direct negotiations, they agree to endeavor to settle the dispute through mediation administered by a neutral mediator before resorting to litigation or any other dispute resolution procedure. The parties will jointly appoint an agreeable mediator and will share equally in the costs of such mediation.

Binding Arbitration: If mediation proves unsuccessful, either party may initiate binding arbitration. Such arbitration shall be administered by a recognized arbitral body mutually agreed upon by the parties. The judgment rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs in the arbitration and shall share equally the costs of the arbitrator.

Exceptions: Notwithstanding the above clauses, Social Intern reserves the right to seek injunctive relief or file for damages in any court of competent jurisdiction in cases where Social Intern believes that its intellectual property rights have been violated or where it deems necessary to protect its business interests.

15. Governing Law

Jurisdiction & Applicability: These Terms, including all agreements and policies incorporated by reference, shall be governed by, and construed in accordance with, the laws of the State of Texas, without giving effect to any principles of conflicts of laws thereof that would lead to the application of the laws of another jurisdiction.

Scope: The laws of the State of Texas shall govern all matters arising out of or relating to these Terms, including, without limitation, its validity, interpretation, construction, performance, and enforcement.

Exclusivity: Both parties agree that any legal action or proceeding arising out of or in connection to the obligations, rights, and remedies of parties under these Terms shall be brought exclusively in the courts of Travis County, Texas. Each party consents and submits to the exclusive jurisdiction of these courts in any such action or proceeding and waives any objection to venue or inconvenient forum.

International Use & Compliance: If you access our Platform from outside the United States, you are responsible for compliance with local laws. Social Intern makes no representation that materials or content available through our Platform are appropriate or available for use outside of the United States, and accessing them from territories where their contents are illegal is prohibited.

Waiver of Class Action: You and Social Intern agree that any proceedings to resolve or litigate any dispute will be conducted on an individual basis and not as a class action or other representative action, whether within a class-wide arbitration, by a class action, or otherwise. Both parties expressly waive any ability to maintain any class action in any forum.
